Terms of service

The terms you accept when you search or order components through SupplyWorks.

Last updated 24 October 2026

We act as your sourcing desk: we read live distributor feeds, confirm what is really available, order the parts and manage delivery. These terms set out how that works, what we promise and what we need from you.

01

The agreement

These terms govern your use of the SupplyWorks platform: searching distributor stock and ordering electronic components through us. By placing an order you accept them, so please read them before you order.

The platform is built for business buyers sourcing parts for their own operations. If you are agreeing on behalf of a company, you confirm you are allowed to do so.

02

What we do

We aggregate live stock, price breaks and lead times from authorised distributor feeds and act as your sourcing desk. We compare the offers, confirm availability, place the order with the distributor and manage delivery to you.

We are not the manufacturer or the distributor of the parts. Goods are supplied on the supplying distributor’s own terms, and we pass on the benefit of those terms to you wherever we can.

03

Your account

  • Keep your company profile accurate. Company name, phone number and delivery address are mandatory before we can accept an order.
  • Keep your login details to yourself and tell us straight away if you think someone else has them.
  • You are responsible for the orders placed from your account.
  • Do not run unrelated businesses from one account; ask us and we will set up the accounts you need.
04

Search results, offers and pricing

Stock, price breaks and lead times come straight from distributor feeds and can move at any time without notice. What you see while searching is an indication, not a firm offer.

Displayed prices are converted for the region you are buying in and include our sourcing fee. The price confirmed when we accept an order is the price that applies, even if the feed has moved since you searched. Stock is not reserved until we confirm the order.

05

Orders and pricing

Prices are firm at checkout: the order is written at the listed price you accepted, and we confirm stock with the distributor immediately afterwards.

An order is an instruction to supply. We issue a proforma invoice after the order is confirmed and payment falls due against it on the terms stated on it.

Where a part is not available we may propose an alternative or a substitute. Nothing is supplied without your agreement.

06

Orders and acceptance

  • We accept an order when we confirm it to you, not when you submit it.
  • We may decline or cancel an order if stock has gone, if the price or lead time has changed materially, or if we cannot verify the order details.
  • You can cancel from your account while the order has not been packed or shipped. Once it is with the courier, the returns terms below apply.
  • Minimum order values and distributor break quantities may apply to a line, and we tell you when they do.
07

Delivery

Lead times are the distributor’s estimates and run from order confirmation. Taxes and duties are priced separately, and we tell you before you are committed where they apply.

Check the delivery address on your order, and inspect the goods when they arrive. Tell the sourcing desk about anything short, damaged or not as ordered as soon as you can, and within the claim window stated on your order confirmation.

08

Payment

Payment terms are agreed with the sourcing desk for each order: purchase order, prepayment, or credit terms where we have agreed them with you. Proforma invoices are payable by their due date, in the currency stated on them.

If an order is cancelled or declined after payment has been taken, the amount is returned to you.

09

Returns, quality and warranty

  • Parts are new and original, supplied through authorised distribution channels with each offer traceable to its source.
  • Report faulty, incorrect, short or damaged parts promptly, with the order number, photographs and how the parts were received.
  • Programmed parts, cut tape and special orders are not returnable unless they are faulty or not as ordered.
  • The manufacturer’s warranty applies to the parts themselves, and we help you pursue a claim with the supplying distributor.
10

Acceptable use

We may suspend an account that breaks these rules:

  • Do not scrape the platform, resell the data, or automate searches to work around the search limits.
  • Do not use the platform for fraudulent orders or claims.
  • Do not attempt to reach another buyer’s account, orders or uploads.
11

Content and brand

The platform, its design and the SupplyWorks name belong to us. Distributor and manufacturer part data remains theirs. You may use the results we give you to source parts for your own business; you may not republish them as your own feed.

12

Our responsibility

We work to keep stock, pricing and lead times accurate, but they come from third-party feeds and we cannot promise they are error-free. The platform is provided as it is, and we are not responsible for indirect or consequential loss, including lost profit, production or opportunity.

Where we are responsible for something, our total liability for a claim is limited to the value of the order that gave rise to it. Nothing here limits liability the law does not allow us to limit.

13

Ending the arrangement

You may stop using the platform at any time and ask us to close your account. We may suspend or close an account that breaks these terms or that we are required to close. Orders we have already accepted, and records we must keep, survive closure.

14

Governing law

These terms are governed by the laws of India, and the courts at our place of business have exclusive jurisdiction over any dispute arising from them.

15

Changes to these terms

We update these terms as the service changes and show the date at the top of this page. The terms in force when we accept an order are the terms that apply to it.
